Terms of Business

Last updated · 2026-09-05

The terms we take on architecture, product and security work under. They apply to engagements with companies and sole traders, and a signed statement of work overrides them wherever the two differ.

Who the supplier is

Services under the voidsolutions brand are delivered by AQUASHIELD s. r. o., Ul. Námestie SNP 703/2, 966 81 Žarnovica, Slovakia, company ID 52 880 516, registered in the Commercial Register of the District Court Banská Bystrica, Section Sro, Insert No. 38054/S.

Who these terms apply to

They apply to work for businesses, meaning companies and sole traders engaging us in the course of their business. The relationship is governed by the Slovak Commercial Code.

How an engagement starts

Nothing on this site is an offer to contract. After an initial conversation we send a written proposal setting out the scope, the fee, the timeline and the people involved. The engagement begins when you confirm that proposal in writing; email is enough. Where a confirmed proposal or a signed statement of work departs from these terms, it prevails.

Scope, access and your side of the work

The proposal defines the scope. Architecture and security work depends on access: to systems, repositories, documentation and the people who know them. You are responsible for providing that access lawfully and for the accuracy of what you tell us. Where access or answers are late, the timeline moves by the same amount of time.

Fees and payment

Fixed-scope engagements are invoiced 50 % on confirmation and 50 % on delivery. Ongoing and time-based work is invoiced monthly in arrears against a record of the time spent. Invoices are payable within 14 days of issue. Prices are in euros; value added tax is applied according to the supplier's tax status at the time the invoice is issued and is always stated on the invoice. On late payment we are entitled to statutory default interest and, after giving you notice, may suspend work until payment is received.

Delivery and acceptance

Deliverables are handed over for review and you have 10 days to raise anything that falls short of the agreed scope. Two rounds of revisions within that scope are included. If we hear nothing within that period, the deliverable is treated as accepted.

Security testing: authorisation and limits

We only test systems you are entitled to have tested. By confirming a security engagement you confirm that you own the systems in scope or hold the owner's written permission, and that any hosting provider whose rules require notice has been notified. Testing happens only within the scope, the targets and the time window set out in the proposal. Security testing is a point-in-time assessment. It reduces risk, it does not eliminate it: no audit or test can prove that a system holds no further vulnerabilities, and a clean report is not a guarantee of security. Testing carries an inherent risk of disruption; where the work touches production we agree the window and the rollback plan in advance and follow them.

Confidentiality

Everything we learn about your systems, your code and your business stays confidential, during the engagement and after it. We are glad to work under your own NDA. Findings, reports and credentials are shared only with the people you name. We keep engagement records for as long as we need them to defend our work, and delete or return the rest on request.

Rights to the work

Economic rights to the code, designs and documents we create for you pass to you once the full fee has been paid. Our own internal tooling, libraries, methodology and report templates, reused across engagements, remain ours; you receive a perpetual licence to use them as part of the delivered work. Third-party and open-source components are governed by their own licences, which we identify on delivery.

Warranty and liability

Defects that prevent a deliverable from working as agreed and are reported within 30 days of acceptance are fixed free of charge. Our liability for damage caused by breach of our obligations is limited to the fee paid for the engagement concerned, and for ongoing work to three times the monthly fee. We are not liable for lost profit or indirect damage. This limit does not apply to damage caused intentionally or by gross negligence, or to a breach of confidentiality.

Subcontractors and third-party services

We may bring in a subcontractor and remain fully responsible for their work; anyone we bring in is bound by the same confidentiality obligations. Infrastructure and services operated by third parties, such as hosting or cloud platforms, are outside our control and we are not responsible for their outages or changes.

Ongoing engagements

Retained and monthly work runs in the scope agreed in the proposal and is invoiced in arrears. Either side may end it with one month's notice, effective at the end of a calendar month. Unused scope does not carry over unless we agree otherwise.

References

We name a client publicly only with their agreement. Without it, we describe the work in general terms that do not identify you, or not at all.

Personal data

How we handle personal data is set out in our Privacy Policy. Where delivering a service means we process personal data on your behalf, we conclude a data processing agreement under Article 28 GDPR before that processing starts.

Governing law and disputes

The relationship is governed by the law of the Slovak Republic, in particular the Commercial Code. We will try to settle any dispute by agreement; failing that, it will be decided by the competent court of the Slovak Republic.

Changes to these terms

We may amend these terms, for example when the range of services or the law changes. For an engagement already confirmed, the version in force on the day of confirmation applies. The current version is always on this page, with its effective date.
